Notification of planned conversion by way of division

The company Prague Port Group a.s., ID No.: 097 23 684 (hereinafter referred to as the "Successor Company") and the company Prague Port, s.r.o, ID No.: 272 13 358 (hereinafter referred to as the "Demerged Company"), plan to implement a demerger by way of a merger, whereby the demerged part of the assets of the Demerged Company listed in the Demerger Project will be transferred to the existing Successor Company.

Notice of Proposed Mergers by Merger within the PPG Group:

Prague Port Group a.s., Company ID No.: 097 23 684 ("Successor Company 1") and (i) PP Hotel 6000 s.r.o., Company ID No.: 193 04 510, (ii) PP Hotel 2000 s.r.o., Company ID No.: 176 21 135, (iii) PP Hotel 3000 s.r.o, ID No.: 176 21 836 and (iv) Great Apartments, s.r.o., ID No.: 090 83 588 (hereinafter referred to as the "Disappearing Companies 1") intend to implement a merger by merger, whereby as a result of the merger, Disappearing Companies 1 will merge with the Successor Company 1 and will be dissolved.

Golden Angel Prague s.r.o., ID No.: 109 97 989 ("Successor Company 2") and PP hotel 4000 s.r.o., ID No.: 196 53 778 ("Disappearing Company 2") intend to merge by merger, whereby as a result of the merger Disappearing Company 2 will merge with Successor Company 2 and will be dissolved.

The company Prague Port, s.r.o., ID No.: 272 13 358 (hereinafter referred to as "Successor Company 3") and the company PP hotel alfa s.r.o., ID No.: 118 80 988 (hereinafter referred to as "Disappearing Company 3") plan to merge by merger, whereby as a result of the merger Disappearing Company 3 will merge with Successor Company 3 and will be dissolved.
